Welcome to AEdiGo! We respect your privacy and are committed to protecting the personal information you share with us. This Privacy Policy explains how we collect, use, disclose, and safeguard your information when you visit our platform or use our services.

User Agreement These Terms of Service (“Terms”) constitute a binding legal agreement between you (“User,” “you,” or “your”) and AEdigo Inc. (“AEdigo,” “we,” “our,” or “us”), a Delaware corporation, and govern your use of the AEdigo website and platform. By accessing or using our services, you agree to comply with these Terms, our Privacy Policy, User Agreement, and other referenced policies.

1. About AEdigo
AEdigo is a technology platform that facilitates connections between clients and independent professionals in the construction industry through its online marketplace. We provide a platform for our registered users to enter into  remote or project-based work arrangements, AEdigo acts solely as an introductory and coordination platform, facilitating connections between clients and freelance professionals. It does not supervise, manage, or direct the performance, quality, or outcome of services provided by freelancers. Users acknowledge that AEdigo is not a party to any construction contract and does not assume responsibility for scope execution, compliance with local building codes or regulations, professional licensing, insurance coverage, or any physical damages arising from the work performed.

Nothing in this Agreement shall be construed to create an employment, joint venture, partnership, or agency relationship between AEdigo and any User.

2. Account Registration and Eligibility
To use the platform, you must register an account and represent that you are at least 18 years old, authorized to conduct business, and capable of entering into binding legal contracts. You agree to provide accurate and current information and to update your profile as needed. You are solely responsible for all activity under your account and must safeguard your login credentials.

By using the platform, you represent that you hold any licenses, registrations, or certifications required to perform the services you offer in your jurisdiction. While AEdigo does not verify such compliance and disclaims any responsibility for unlicensed activity, we reserve the right to request proof of licensure or certification at any time.

3. User Responsibilities and Platform Use
You may only use AEdigo to seek or offer freelance services, communicate professionally, and comply with all applicable laws. Please review our Code of Conduct and Community Guidelines clause.
AEdigo reserves the right to restrict, suspend, or terminate access for violations.

4. Relationship Between Users
AEdigo is not a party to any agreement between users. All contracts for freelance work are formed directly between clients and freelancers. Users are solely responsible for negotiating and fulfilling the terms of their work arrangements, including scope, pricing, deliverables, and deadlines.

Freelancers are solely responsible for maintaining all licenses, permits, and certifications legally required to perform any construction, engineering, architectural, or design services in the applicable jurisdiction. AEdigo does not verify or guarantee that any freelancer is licensed, certified, or otherwise legally permitted to provide such services, and disclaims any responsibility arising from unlicensed or non-compliant work.

AEdigo may assist in relaying scope-related communication between users but does not verify the accuracy, feasibility, or completeness of any deliverables. Clients are solely responsible for defining and reviewing project scope, and freelancers for executing work to industry standards.

Although AEdigo may offer vetting services, such reviews are limited to platform-defined checks and do not constitute a guarantee of skill level, license validity, or project-specific suitability. Users are encouraged to perform their own due diligence before entering into any contractual relationship.

Clients are solely responsible for clearly defining the scope of work, providing accurate and timely project information, and reviewing submitted work within the designated timeframes. AEdigo disclaims any liability for project delays, scope misalignment, or failures arising from insufficient or unclear client communication.

AEdigo is not involved in, nor responsible for, onsite access, safety conditions, or regulatory compliance at any physical job location. Any freelance work requiring site visits, inspections, or on-location services is conducted at the sole risk and discretion of the client and freelancer. Users are responsible for complying with all applicable safety standards, insurance requirements, and jobsite access protocols. AEdigo disclaims all liability for personal injury, property damage, or legal violations arising from physical project interactions.
4A. Worker Classification & Indemnity (Platform-Wide)

Independent Contractor Status. Users acknowledge that services are performed by independent contractors, not employees, agents, or representatives of AEdigo. AEdigo does not supervise or control the manner or means of any services.

Compliance Responsibility. Each User is solely responsible for its own compliance with worker-classification, wage-and-hour, tax, and similar laws (including any independent-contractor / economic-reality / “ABC” or analogous tests) applicable to it. Nothing in these Terms waives obligations imposed by law.

No Benefits / No Authority. Freelancers receive no wages, benefits, or other employee entitlements from AEdigo or Clients and have no authority to bind either.

Indemnity. Freelancers will defend and indemnify AEdigo and Clients against claims, assessments, penalties, or liabilities arising from Freelancer’s failure to pay taxes or maintain required insurance or licenses. Clients will defend and indemnify AEdigo and Freelancers against claims, assessments, penalties, or liabilities arising from Client’s failure to comply with laws applicable to hiring entities (including misclassification, wage-and-hour, or payroll tax obligations) to the extent caused by Client’s conduct.

No Responsibility for Classification Disputes. AEdigo has no responsibility for employment or classification obligations between Users.

5. Payments and Fees
All payments on AEdigo are processed via third-party providers, including Stripe. For card network and payment processing purposes, AEdigo may appear as the “merchant of record” on user transactions. This designation is solely to enable secure payment facilitation between Clients and Freelancers and does not make AEdigo the provider, guarantor, or seller of the services purchased. All service performance obligations rest exclusively with the Client and Freelancer under their separate Service Contract.

Users agree that AEdigo may reverse, withhold, or recover payments in cases of fraud, chargebacks, policy violations, unauthorized activity, regulatory inquiry, or other lawful reasons, and that any amounts refunded or clawed back are recoverable from the User who originally received the funds. AEdigo shall not be deemed a financial institution, escrow agent, or fiduciary for any user. See our Payment, Fee, and Dispute Resolution Policy and Liability Disclaimer for full details.

AEdigo and its payment processor reserve the right to delay or restrict fund disbursement to freelancers in cases of suspected fraud, disputed transactions, chargebacks, legal orders, or compliance reviews. AEdigo shall not be liable for any damages resulting from such holds where done in good faith.

Clients are required to maintain a valid payment method and authorize payment before starting a contract. AEdigo reserves the right to suspend services or restrict access to users in the event of payment failure, suspected fraud, or policy violation. Users are responsible for all applicable taxes, fees, and legal compliance in their jurisdiction.
AEdigo charges a standard percentage fee for use of the platform. Fee structures are presented at the time of onboarding, job posting, or offer acceptance. Users are responsible for their own taxes, reporting, and any regulatory filings required by their country or region.

Each user is solely responsible for complying with their local tax obligations, including reporting income, calculating withholdings, and submitting tax filings in accordance with the laws of their jurisdiction. Where required by law, AEdigo may collect and remit sales tax, VAT, or other transaction-based levies. Freelancers are encouraged to consult a tax advisor regarding their individual circumstances.

AEdigo does not guarantee payment to freelancers or clients and is not responsible for payment delays, disputes, reversals, or chargebacks initiated through third-party processors. All users accept the inherent risks of online transactions and are encouraged to use execution phase funding tools, time tracking (where applicable), and the dispute process when issues arise.

By initiating, accepting, or funding any engagement on the platform, users agree to be bound by AEdigo’s then-current Payment, Fee and Dispute Resolution Policy, which governs payment schedules, approvals, refunds, and resolution procedures. This policy is incorporated by reference into all client-freelancer offers and contracts, and is provided at the time of offer creation or acceptance.

Detailed policies governing payments, fees, and dispute resolution are available during contract negotiation and are considered legally binding once an offer is accepted. Users agree that failure to review such policies does not exempt them from their applicability.

Use of payment, review, time-tracking, or dispute tools does not create an employment, agency, or joint-employer relationship with AEdigo.

AEdigo may withdraw or expire hourly offers that are not onboarded into the designated time-tracking tool within the stated deadline per the Payment, Fee & Dispute Resolution Policy, without liability and subject to refunding any unused pre-authorizations.

Certain tooling or software-related fees connected to integrated third-party services, such as time tracking, may apply to Freelancers with active projects and platform earnings, as described in AEdigo’s Payment, Fee and Dispute Resolution Policy.

6. Dispute Assistance and Platform Neutrality
While AEdigo is not a party to any service contract, we offer a non-binding dispute resolution process as outlined in our Dispute System policy. Both parties must engage in good faith to resolve issues. AEdigo reserves the right to assist in mediation but does not enforce user agreements, except to facilitate payment processing through the platform.

AEdigo is not responsible for enforcing or interpreting the terms of any Service Contract between users and does not guarantee resolution through the dispute process.

User-to-User disputes follow the Payment, Fee & Dispute Resolution Policy.

7. Ownership and Intellectual Property
Your use of the AEdigo platform is also governed by our Intellectual Property Policy, which is incorporated into these Terms by reference. Please review it carefully as it contains important information regarding ownership and licensing of content, deliverables, and platform materials.

8. Confidentiality
Users agree to maintain the confidentiality of all non-public, proprietary, or sensitive information obtained through the platform ("Confidential Information"), whether related to project scope, client identity, pricing, or communications. This includes, but is not limited to, architectural or engineering drawings, technical documentation, budget details, jobsite conditions, and other materials shared for project purposes.

Such information must not be disclosed, copied, used, or reproduced except as necessary to fulfill the contracted scope of work. Users must take reasonable precautions to protect confidential information and comply with any separately agreed non-disclosure terms. These obligations survive account termination or project completion.
Disclosing such information without consent, uploading confidential files to public locations, or using data obtained through AEdigo for competitive purposes violates this policy and may result in legal consequences.

9. Platform Integrity and Fair Use
To maintain a secure and trustworthy environment, users must uphold the principles set forth in AEdigo’s Code of Conduct and Community Guidelines clause, which are incorporated into these Terms by reference. All users are required to comply with applicable laws, including those governing fraud, identity verification, intellectual property, and professional conduct. Prohibited activities include but are not limited to uploading unlawful or harmful content, using bots, scraping tools, or malware, or misrepresenting qualifications or work. Users may not offer or perform regulated services (e.g., those requiring a license or certification) unless they are properly credentialed under applicable law; AEdigo does not verify such compliance and disclaims liability for non-compliant services. Off-platform engagements that arise from connections made on AEdigo are strictly prohibited for a period of 18 months after the initial connection, unless explicitly authorized by AEdigo and subject to payment of applicable fees. Users who circumvent this requirement breach these Terms and may be liable for damages. Additionally, users must not use AI-generated content, automated scripts, or bots in project deliverables or communications unless explicitly disclosed and agreed to by the receiving party. Misrepresentation of such outputs constitutes platform misconduct and may result in account removal or enforcement action.

10. Account Suspension and Termination
All users of the AEdigo platform are expected to maintain professional, lawful, and respectful behavior in accordance with our Code of Conduct and Community Guidelines clause, which are incorporated into these Terms by reference. These guidelines outline acceptable use, prohibited conduct, account enforcement actions, and community standards designed to protect the integrity of the platform. AEdigo reserves the right to investigate violations, suspend or terminate accounts, and take enforcement measures as described therein. Users are responsible for reviewing and complying with the Code of Conduct in full, and continued use of the platform constitutes acceptance of those guidelines.

11. Disclaimers and Limitation of Liability
AEdigo provides the platform and related services on an “as is” and “as available” basis, without warranties of any kind, express or implied. We make no guarantees regarding the availability, accuracy, completeness, reliability, or suitability of the platform or any outcomes resulting from the use of our services, including but not limited to hiring decisions, deliverables, project results, or third-party integrations (e.g., Stripe).

To the fullest extent permitted by law, AEdigo disclaims all liability for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption, arising out of or related to your use of the platform.

AEdigo’s total cumulative liability to any user shall not exceed the total amount of service fees paid by the user to AEdigo in the six (6) months preceding the claim. Some jurisdictions may not allow such exclusions or limitations, in which case they apply only to the maximum extent allowed by law.

AEdigo further disclaims all liability for physical construction outcomes, project delays, cost overruns, code compliance, jobsite safety, engineering accuracy, or the suitability of deliverables for use. Clients and freelancers assume full responsibility for project execution and regulatory compliance.

12. Governing Law
These Terms of Service, and any claim, dispute, or controversy arising out of or relating to your use of the AEdigo platform, shall be governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Before initiating any formal legal action, users agree to first attempt resolution through AEdigo’s internal Dispute Resolution Policy, which is incorporated herein by reference. If a dispute cannot be resolved through the platform’s internal process and involves AEdigo directly as a named party, it shall be subject to the exclusive jurisdiction of the state or federal courts located in the State of Delaware. Users consent to personal jurisdiction in those courts.
To the fullest extent permitted by law, users waive any right to a jury trial and agree not to initiate or participate in any class, collective, or representative action related to the platform, these Terms, or any engagement facilitated by AEdigo. All claims must be brought individually.

Nothing in this section shall limit or affect mandatory consumer rights or legal protections that apply based on a user’s country of residence.

13. Changes to These Terms
AEdigo may update these Terms periodically to reflect changes in platform operations, legal requirements, or user feedback. Any significant update will be communicated in advance via email or user dashboard notification. Continued use of the platform after any such update constitutes acceptance of the new terms.

14. Insurance and Risk Allocation
Users are solely responsible for maintaining any insurance coverage appropriate to their professional activities, including but not limited to general liability, professional liability (errors and omissions), workers’ compensation, and cyber liability coverage, as required by law or industry standards in their jurisdiction. AEdigo does not provide or arrange any form of insurance or bonding for users and disclaims any liability for losses, claims, or damages arising from uninsured or underinsured work. Clients are encouraged to verify appropriate coverage with any freelancer they engage through the platform.

15. Indemnification
Users agree to indemnify, defend, and hold harmless AEdigo, its affiliates, officers, directors, and employees from any claims, damages, liabilities, losses, or expenses (including attorneys' fees) arising out of or related to: (a) their use or misuse of the platform, (b) their breach of this Agreement, (c) violation of applicable laws or regulations, or (d) infringement of third-party rights, including intellectual property rights.


16. Prohibited Use & Legal Compliance
Users agree not to use the platform for any activity that is illegal, fraudulent, deceptive, or in violation of applicable industry or licensing regulations. This includes but is not limited to unlicensed professional work, misrepresentation of qualifications, or unauthorized sharing of regulated construction documents. AEdigo reserves the right to suspend or terminate accounts involved in such activities.

Service Contract Template
This Service Contract (“Agreement”) is entered into by and between the undersigned client (“Client”) and freelancer (“Freelancer”) (collectively, the “Parties”) in connection with services arranged through the AEdigo platform operated by AEdigo Inc. (“AEdigo” or the "Platform Operator"). While AEdigo facilitates communication and payments, and provides the platform infrastructure, it is not a party to this Agreement and is not responsible for the performance of services between Client and Freelancer.

Each Party represents it is acting for business purposes and not as a consumer. To the extent mandatory law applies otherwise, the remainder of this Agreement continues in full force.

1. Scope of Work
The Freelancer agrees to deliver services (“Services”) as described in the Client’s job posting, proposal, execution plan, or any additional instructions exchanged through the AEdigo platform. The Client agrees to provide necessary information, cooperation, and timely feedback to support performance of the Services.

All scope-related communication must be maintained through AEdigo’s platform to ensure clarity, dispute traceability, and platform recordkeeping.

2. Payment Terms
Payment arrangements are determined through the AEdigo platform and may follow a fixed-price or hourly structure. The Client agrees to fund each execution phase or invoice in advance through AEdigo’s integrated payment system powered by Stripe.

Freelancer acknowledges that no payment shall be due or released until the Client has approved the applicable execution phase or until a specified review period passes without dispute as noted in the Payment, Fee and Dispute Resolution Policy. No work should begin until the relevant execution phase or billing period is properly funded.
Freelancer understands that payment is contingent upon Client’s approval or expiration of the platform-specified review window. AEdigo acts solely as a limited payment facilitator and does not guarantee payment in the event of client default, chargeback, or dispute. For certain transactions, AEdigo may appear as the merchant of record solely to facilitate payment processing through third-party providers. This does not make AEdigo a party to this Agreement or create any responsibility for service performance. Users agree that AEdigo may reverse, withhold, or recover payments in accordance with its Terms of Service, Payment Policy, and Liability Disclaimer, and that any such amounts are recoverable from the Party who received the funds.

In the event of incomplete or materially deficient work, the Client may withhold execution phase approval and request revisions in good faith. The Parties agree to cooperate promptly to resolve such concerns.

For hourly engagements, the effectiveness of any offer is contingent on the Freelancer’s timely enrollment in AEdigo’s designated time-tracking tool per the Payment, Fee & Dispute Resolution Policy; offers may be withdrawn if enrollment is not completed within the stated timeframe.

3. Modifications
Any adjustments to the scope, schedule, deliverables, or payment structure must be documented via AEdigo’s messaging or contract tools. Neither party may unilaterally alter the Agreement outside the platform. Any verbal or off-platform agreements shall be considered unenforceable under this Contract.

4. Independent Contractor Status and Classification Allocation
(a) Status. The Parties acknowledge and agree that the Freelancer is an independent contractor and is not an employee, agent, joint-venturer, or partner of the Client or AEdigo. Neither Client nor AEdigo will supervise the manner or means of the Services. Freelancer controls its methods, schedule, and location of work, may provide services to others, and supplies its own tools and equipment unless otherwise agreed.

(b) No Authority / No Benefits. Freelancer has no authority to bind Client or AEdigo. No wages, overtime, vacation, sick leave, retirement, health, or other employee benefits are provided or implied. Client will not treat Freelancer as an employee for any purpose.

(c) Taxes, Licenses, Insurance. Freelancer is solely responsible for all taxes, withholdings, filings, licenses, and insurance applicable to its business. Where applicable law requires Client to issue tax forms (e.g., U.S. Form 1099-NEC) or withhold/remit amounts, Client will do so in compliance with law.

(d) Legal Compliance by Each Party. Each Party is solely responsible for its own compliance with worker-classification, wage-and-hour, tax, and similar laws that apply to it (including any independent-contractor/economic-reality/“ABC” or analogous tests). Nothing in this Agreement waives obligations imposed by applicable law.
(e) Indemnity for Classification Claims (Protects AEdigo and the other Party). Freelancer will defend and indemnify AEdigo and Client from any claim, assessment, penalty, or liability arising from Freelancer’s failure to pay taxes or maintain required insurance or licenses. Client will defend and indemnify AEdigo and Freelancer from any claim, assessment, penalty, or liability arising from Client’s failure to comply with laws applicable to hiring entities (including misclassification, wage-and-hour, or payroll tax obligations) to the extent caused by Client’s conduct. In all cases, AEdigo has no responsibility for classification or employment obligations between Client and Freelancer.
(f) Reclassification Process (Prospective Fix). If a government authority or court finally determines the relationship should be treated as employment, the Parties will cooperate to implement that determination prospectively and allocate any resulting costs and liabilities in accordance with this Section 4 and the Parties’ indemnities. Nothing herein admits misclassification.

5. Intellectual Property
Upon and in consideration of full payment, Freelancer hereby assigns, and agrees to cause its personnel to assign, to Client all right, title, and interest in and to the Deliverables (excluding Freelancer Background IP). Freelancer grants Client a perpetual, worldwide, royalty-free license to any Background IP incorporated in the Deliverables to the extent necessary to use them. To the maximum extent permitted by law, Freelancer waives (or agrees not to assert) moral rights in the Deliverables.

The Freelancer warrants that the Deliverables will be original and not infringe on any third-party intellectual property rights.

Until full payment is made, Freelancer grants the Client a limited, revocable, non-transferable, non-exclusive license to review draft deliverables solely for evaluation purposes. IP transfer does not apply to proposals, design mockups, or preliminary ideas unless incorporated into final paid deliverables.

Your use of the AEdigo platform is also governed by our Intellectual Property Policy, which is incorporated into AEdigo's Terms of Service. Please review it carefully as it contains important information regarding ownership and licensing of content, deliverables, and platform materials.

6. Confidentiality
Both Parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the engagement, including technical specifications, business information, and communication. These obligations shall continue after the conclusion or termination of the Agreement. Upon termination of the engagement, each Party shall return or securely destroy any confidential information received, unless legally required to retain it.

7. Term and Termination
This Agreement begins on the date of acceptance by both parties on the AEdigo platform ("Effective Date") and continues until completion of all Services unless terminated earlier. In such case, the Client remains responsible for payment for any work completed and approved up to the termination date. If termination occurs mid-execution phase, the Client shall pay for all completed and submitted work up to that date, based on a reasonable pro-rata share.

8. Dispute Resolution Support
The parties acknowledge and agree that any disputes arising under this Service Contract must first be submitted to AEdigo’s internal dispute resolution process as outlined in AEdigo’s Dispute Resolution Policy before pursuing any other remedies. This policy governs procedures for resolving disagreements related to payment, deliverables, and service performance and is provided at the time of contract initiation. While AEdigo may facilitate non-binding mediation, it is not a party to this Service Contract and does not impose outcomes. Users agree to cooperate in good faith and follow the applicable procedures available through the AEdigo platform.

9. Limitation of Liability
To the fullest extent permitted by Delaware law, neither Client nor Freelancer shall be liable to the other for any indirect, incidental, special, or consequential damages, including but not limited to lost profits, business interruption, or reputational harm, arising out of or related to this Agreement. The Freelancer’s aggregate liability for any claim under this Agreement shall not exceed the total amount paid by the Client for the specific execution phase or hourly billing period giving rise to the claim.

This cap does not apply to a party’s willful misconduct, fraud, gross negligence, breach of confidentiality or data security, infringement of third-party IP, or indemnified claims.

Freelancer shall not be liable for issues arising from the Client’s misuse, alteration, or misapplication of the deliverables, or for third-party claims resulting from the Client’s reliance on the work product, unless such issues result from the Freelancer’s proven willful misconduct or gross negligence. Both parties acknowledge their independent responsibility for regulatory compliance, professional due diligence, and any contractual obligations entered into outside of this Agreement.

10. Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

Arbitration (User-to-User). Any dispute, claim, or controversy arising out of or relating to this Agreement shall first be submitted to AEdigo’s internal dispute process as outlined in the Payment, Fee & Dispute Resolution Policy. If mediation is unsuccessful, either party may escalate the issue to binding arbitration administered by the American Arbitration Association (AAA) only if both parties agree in writing to arbitrate and each pays the AAA filing and administrative fees. If only one party pays, arbitration will not proceed. Unless otherwise agreed in writing, any arbitration will be conducted in English with the seat in Wilmington, Delaware.

Scope / AEdigo Not a Party. For avoidance of doubt, the Payment, Fee & Dispute Resolution Policy controls any temporary fund holds/releases, including default outcomes; this clause governs merits disputes between Client and Freelancer, and AEdigo is not a party to any arbitration. If neither party pays the AAA fees within thirty (30) days of an arbitration notice then funds are returned to the Client by default as specified in the Payment, Fee & Dispute Resolution Policy.

Additional Protections. Each party shall bear its own arbitration costs and legal fees unless the arbitrator determines otherwise. Judgment on any arbitration award may be entered in any court having jurisdiction. By agreeing to this clause, the Parties waive their right to a trial by jury and to participate in class actions or representative proceedings. Nothing in this clause prevents either Party from seeking injunctive or equitable relief in a court of law to prevent the unauthorized use or disclosure of confidential or proprietary information.

To the extent mandatory local law prohibits arbitration in Wilmington, Delaware for a Party, arbitration shall occur in any seat required by such law, but the AAA Commercial Rules and Delaware law shall otherwise govern to the fullest extent permitted.

11. Entire Agreement
This Agreement, together with the project-specific details and communications exchanged through the AEdigo platform, constitutes the entire agreement between the Client and Freelancer regarding the Services described herein. It supersedes all prior negotiations, understandings, or agreements, whether oral or written, relating to the subject matter.

This Agreement governs only the direct relationship between Client and Freelancer with respect to this engagement. All general use of the AEdigo platform, including account conduct, data processing, dispute procedures, and payment infrastructure, is governed separately by AEdigo’s Terms of Service, Privacy Policy, and Payment, Fee and Dispute Resolution Policy, each of which is incorporated by reference. By using the platform and entering into this Agreement, both Parties agree to be bound by those broader platform terms.

12. Indemnification
Client and Freelancer each separately agree to indemnify, defend, and hold harmless AEdigo, its affiliates, officers, directors, employees, agents, and licensors from any claims, damages, liabilities, losses, or expenses (including reasonable attorneys' fees and costs) arising out of or related to: (a) their use or misuse of the platform, (b) their breach of this Agreement or any AEdigo policies, (c) violation of applicable laws or regulations, (d) infringement of third-party rights, including intellectual property rights, or (e) any disputes or issues between Users that do not directly result from AEdigo's gross negligence or willful misconduct.

IN WITNESS WHEREOF, the Parties agree to this Service Contract as of the date they accept it on the AEdigo platform.


Code of Conduct and Community Guidelines
At AEdigo, we are committed to creating and maintaining a professional, respectful, and reliable environment that fosters high-quality collaboration between clients and vetted freelance professionals in the construction industry. These Code of Conduct and Community Guidelines apply to all users of the AEdigo platform and set expectations for behavior, integrity, and community participation.

By using the platform, users agree to act in accordance with the principles outlined in this document. Any failure to comply may result in temporary account restrictions, permanent suspension, or other enforcement actions.

1. Professionalism and Respect
All users are expected to communicate with professionalism and courtesy at all times. Whether through messaging, feedback, or collaboration, interactions must remain constructive, respectful, and free from any form of harassment, bullying, hate speech, or discriminatory behavior.

Users may not engage in personal attacks, intimidation, or language that targets others based on race, ethnicity, gender, religion, nationality, sexual orientation, disability, or any other protected status.

2. Honesty and Transparency
Truthfulness is a cornerstone of trust on AEdigo. Users must not misrepresent their identity, credentials, qualifications, availability, or work history. Freelancers must only accept to be proposed for jobs they are qualified to perform, and clients must accurately describe the scope, expectations, and budget of projects.

All project details should be clearly documented through the platform, and any changes must be transparently agreed upon by both parties.

3. Fair Dealing and Integrity
AEdigo expects users to act in good faith when negotiating, managing, and completing projects. Freelancers are expected to meet deadlines and deliver work that aligns with the agreed specifications and scope. Clients are expected to provide timely feedback, review submissions promptly, and process payments according to the project schedule.

Attempts to unfairly manipulate platform features including feedback systems, project listings, or dispute channels will be considered violations of this policy.

4. Platform Use and Anti-Circumvention
To protect the integrity of the AEdigo marketplace and ensure fair use of our services, users agree not to circumvent the platform for a period of eighteen (18) months from the initial introduction of one user to another through AEdigo.
Specifically, you agree not to:

  • Solicit or accept payments for freelance services outside of AEdigo from any user you first connected with through the platform;

  • Share contact information (such as email, phone number, messaging app handle, or social media profile) prior to an active contract being in place, unless explicitly authorized in writing by AEdigo;

  • Enter into direct contractual relationships for the same or substantially similar services outside the platform without written permission from AEdigo.

Violations of this section may result in immediate account suspension, removal from the platform, and liability for liquidated damages equal to liquidated damages equal to the platform service fees reasonably projected to have been lost due to circumvention over a 18-month period. We reserve the right to investigate suspected circumvention and recover any losses associated with breach of this clause. Users are encouraged to report circumvention attempts or off-platform contact requests to support@AEdigo.com (see Non-Circumvention Clause).  

5. Legal Compliance and Platform Integrity
Users are required to comply with all applicable laws, including those related to fraud, identity verification, intellectual property, and digital conduct. Users may not post, upload, or transmit content that is illegal, misleading, defamatory, or harmful.

Use of bots, scraping tools, malware, or any other mechanisms to exploit or damage the platform is strictly prohibited.

Users may not offer or perform services on AEdigo that require licensing, certification, or regulatory approval unless they hold all necessary and current credentials required by applicable law. While AEdigo may, in its sole discretion, perform initial verification checks, users remain solely responsible for maintaining current licenses and compliance with all applicable regulations. AEdigo disclaims all responsibility for unlicensed or non-compliant services offered on the platform.

Users acknowledge that any interaction, engagement, or contract initiated through AEdigo but completed outside the platform whether for the same project or a related scope falls entirely outside the responsibility and protection of AEdigo. AEdigo disclaims all liability for any disputes, damages, unpaid work, or legal violations arising from such off-platform activities. Users are solely responsible for complying with all laws, safety standards, licensing requirements, and payment obligations in those independent arrangements. Any attempt to represent such engagements as platform-supported will be considered a violation of these Guidelines.

Users may not submit project deliverables or conduct communication using AI-generated content, automated scripts, or bots unless: (1) clearly disclosed and agreed upon by the receiving party in writing prior to project commencement, (2) specifically permitted by AEdigo for the particular use case, and (3) the user assumes full responsibility and liability for all AI-generated content, including any intellectual property infringement or other legal claims arising from such use. Misrepresenting AI outputs as original human work without disclosure constitutes platform misconduct and will result in immediate account suspension and possible permanent removal.
Any optional vetting or verification AEdigo performs is limited and does not create an employment, agency, or joint-employer relationship with AEdigo.

6. Feedback and Reviews
Our feedback system is critical to maintaining a credible reputation structure. Reviews should be accurate, honest, and based solely on direct project experience. Attempts to solicit, bribe, coerce, or retaliate through reviews violate AEdigo’s policies and may lead to removal of feedback or account action.

Users may not create multiple accounts for the purpose of manipulating project listings, reviews, or visibility. All reviews must be submitted from a single verified user account and reflect an authentic transaction. Coordinated or deceptive review schemes are grounds for removal and permanent account suspension.

7. Reporting Violations
If you observe any conduct that violates these guidelines, you are encouraged to report it to AEdigo at support@AEdigo.com. AEdigo will investigate all reports in good faith and take appropriate action depending on the severity of the violation.

8. Account Suspension, Termination, and Enforcement
AEdigo reserves the right to review, suspend, or permanently terminate any user account at its sole discretion based on violations of the Terms of Service, Code of Conduct and Community Guidelines, platform abuse, fraud, repeated misconduct, or actions that threaten platform integrity or legal compliance. Enforcement actions may include content removal, warnings, payment holds, restricted access, or permanent bans. AEdigo's enforcement decisions are final, subject to applicable law, though users may submit additional information if they believe an action was taken in error. Users may close their accounts at any time; however, termination does not relieve them of any outstanding contractual or legal obligations. Upon closure or termination, users will lose access to platform features, data, and communication records. AEdigo reserves the right to retain certain user or transactional data as required by law or to protect its legal interests. AEdigo disclaims all liability for user conduct and assumes no responsibility for the legality, quality, or safety of any interaction or contract initiated through the platform, including physical, financial, or reputational consequences arising on or off the platform.


Non-Circumvention Clause
This Non-Circumvention Clause (“Clause”) is a binding part of AEdigo’s Terms of Service and applies to all users of the AEdigo platform, including freelancers, clients, and any team members, agents, agencies, or representatives acting on their behalf.

AEdigo exists to facilitate secure and professional connections between clients and freelance talent in the construction industry. In order to protect the value of the relationships created through our platform and sustain the quality and security of our services, AEdigo enforces the following non-circumvention requirements:

1. Scope and Duration
From the moment a client and freelancer are introduced or identify one another through the AEdigo platform whether through a proposal, interview, message, profile view, job posting, or any other interaction, both parties agree to exclusively use AEdigo for all communications, collaborations, and payments related to construction industry services for a period of eighteen (18) months.

This obligation applies regardless of whether the engagement ultimately results in a contract. Any attempt to initiate, accept, or fulfill work outside the platform during this period is strictly prohibited.

This Clause also extends to any business entity, team member, agent, agency, or representative affiliated with either the freelancer or the client.

For purposes of this Clause, a connection is deemed to exist as soon as any identifying information (e.g., name, portfolio, company affiliation) is accessible through the AEdigo platform, regardless of whether the parties directly communicate. If the parties had a pre-existing relationship prior to connecting on AEdigo, they must disclose this within 5 business days of identifying each other on the platform to be exempt from these obligations.

2. Prohibited Conduct
Users must not:

  • Offer or request payments outside the AEdigo platform for any work that stems from an AEdigo-facilitated connection.

  • Exchange or solicit personal contact details, including but not limited to email addresses, phone numbers, websites, or social media accounts, prior to an active contract.

  • Refer, recommend, or connect any AEdigo user to a third party outside the platform for the purpose of circumventing the platform’s services or fees.

Sharing or soliciting “Means of Direct Contact” is a violation of this Clause. This includes but is not limited to:

  • Email addresses, phone numbers, and physical mailing addresses

  • URLs that include contact forms or messaging features

  • Social media handles or usernames (e.g., LinkedIn, WhatsApp, Slack)

  • Files or links that contain or reveal any of the above


3. Enforcement and Consequences
AEdigo takes non-circumvention seriously. Violation of this Clause is considered a material breach of the Terms of Service and may result in:

  • Permanent suspension of the user’s AEdigo account

  • Termination of any active contracts

  • Removal of any published work, reviews, or credentials

  • Bans on associated team members, representatives, or related business entities


AEdigo reserves the right to investigate any suspected circumvention and will use reasonable means to assess user behavior, communications, and activity patterns. Users agree to reasonably cooperate in any such investigation, subject to applicable privacy laws and confidentiality obligations.

In addition to account suspension or termination, AEdigo reserves the right to pursue liquidated damages and equitable relief, including but not limited to liquidated damages equal to the platform service fees reasonably projected to have been lost due to circumvention over a 12-month period.

Any User-to-User dispute arising under this Policy follows the Payment, Fee & Dispute Resolution Policy.

4. Reporting Violations
We strongly encourage users to report any attempt to bypass the platform or solicit off-platform engagement. Reports may be submitted confidentially via support@AEdigo.com. AEdigo will investigate all reports in good faith and take appropriate enforcement action.

Users who knowingly ignore or fail to report clear circumvention attempts may also be subject to review or enforcement action if such inaction materially undermines platform integrity.

5. No Conversion Fee Opt-Out
AEdigo does not permit users to bypass the non-circumvention obligations by paying a conversion or buy-out fee. Users who wish to collaborate off-platform must wait until the 18-month non-circumvention period has fully expired.
AEdigo may request documentation or timestamped communication history to verify whether the circumvention window has expired. Falsifying the timeline of a user relationship to bypass this policy constitutes a material violation.

6. Amendments and Survival
This Clause may be updated from time to time. Users will be notified of any material changes at least 30 days in advance via email, and continued use of AEdigo after such notice constitutes acceptance of the updated version. This Clause survives termination of any account or contract and remains enforceable until the expiration of the applicable 18-month period.

This Clause shall remain enforceable regardless of whether a user account is voluntarily closed, suspended for violation, or permanently removed. Termination of access to the platform does not waive or reset the circumvention period.

Liability Disclaimer
This Liability Disclaimer is an integral part of AEdigo’s Terms of Service and governs the limitations of liability associated with use of the AEdigo platform by all users, including clients, freelancers, and affiliated representatives. By accessing or using AEdigo, users agree to the risk allocations set forth below, which reflect the nature of the platform-based services and pricing model AEdigo offers.

1. General Platform Disclaimer
AEdigo provides a digital marketplace that facilitates connections between clients and freelance professionals in the construction industry. AEdigo does not supervise, manage, or direct the services provided by freelancers, nor does it represent or warrant the performance, behavior, or legality of clients. All users enter into service contracts independently and at their own risk.

The platform, including all software, content, tools, features, and communication systems, is provided on an “as is” and “as available” basis, without warranties of any kind. AEdigo expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to merchantability, fitness for a particular purpose, non-infringement, accuracy, uninterrupted availability, or suitability for specific project outcomes.

AEdigo operates solely as a technology platform and marketplace facilitator, and expressly disclaims any role as a licensed recruitment agency, professional employer organization (PEO), engineering firm, legal advisor, construction contractor, or any other licensed professional service provider. No user of the platform should interpret AEdigo’s vetting process, recommendations, templates, or tools as constituting professional or regulatory advice. Users are solely responsible for ensuring compliance with relevant professional licensure, employment law, tax obligations, and local regulations governing independent contractor arrangements.

2. Limitation of Liability
To the fullest extent permitted by law, AEdigo disclaims all liability for any indirect, incidental, punitive, exemplary, special, or consequential damages, including but not limited to loss of profits, data, revenue, opportunity, goodwill, business interruption, or reputational harm. This applies to all causes of action, whether arising in contract, tort, strict liability, or otherwise, even if AEdigo has been advised of the possibility of such damages.

AEdigo's total cumulative liability for any claim arising from or related to use of the platform shall not exceed the total amount of percentage-based service fees paid by the user to AEdigo in the six (6) months prior to the claim. Where certain jurisdictions do not allow limitations on liability, AEdigo’s liability shall be limited to the maximum extent permitted by law in that jurisdiction.

2A. Worker Classification and Employment Matters. AEdigo is not an employer, joint-employer, PEO, or staffing firm of any User. Users are solely responsible for their own compliance with worker-classification, wage-and-hour, tax, and similar laws. To the fullest extent permitted by law, Users agree to defend, indemnify, and hold harmless AEdigo from any claims, assessments, penalties, or liabilities arising out of alleged misclassification or employment obligations except to the extent directly caused by AEdigo’s proven gross negligence or willful misconduct.

3. Third-Party Services Disclaimer
AEdigo relies on various third-party service providers for payment processing, time tracking, communication, cloud infrastructure, and other services to deliver platform functionality. AEdigo disclaims all responsibility for disruptions, delays, data breaches, or performance failures caused by such third-party services. Users agree to be bound by the terms of those providers and acknowledge that AEdigo does not guarantee their availability, data integrity, or continuity.

4. User Representation & Due Diligence
AEdigo does not verify or warrant the accuracy, legality, or completeness of any user profile, resume, license, credential, proposal, or rating. Users are solely responsible for conducting due diligence prior to entering into any engagement. Reliance on platform vetting features or user-generated content is at the user’s own risk. AEdigo disclaims all liability for misrepresentation, omissions, or falsified information submitted by users.

Users represent, warrant, and covenant that all information, credentials, licenses, documentation, and other materials they submit are and will remain true, current, complete, and accurate to the best of their knowledge throughout their use of the platform. AEdigo does not independently verify submitted licenses or qualifications and disclaims liability for any false representations, expired certifications, or professional misconduct.

5. Construction Deliverables & Code Compliance
AEdigo does not review or validate any construction-related deliverables including plans, estimates, shop drawings, specifications, or technical documentation. All responsibility for design suitability, regulatory compliance, cost estimation, engineering accuracy, and jobsite safety lies with the client and freelancer. AEdigo expressly disclaims any and all liability for project outcomes, structural issues, permit rejections, code violations, safety incidents, or any other construction-related issues or defects, whether direct or indirect, arising from or related to platform-facilitated engagements.

6. Dispute Facilitation Disclaimer
AEdigo may, at its discretion, provide non-binding mediation for payment or work-related disputes. However, AEdigo does not serve as an arbitrator, judge, or legal decision-maker. Any resolution suggested by AEdigo is voluntary and does not carry legal force. Users remain responsible for enforcing their own contracts and recovering any outstanding obligations through lawful means outside the platform.

AEdigo’s mediation services are offered solely as a goodwill measure and are not part of any legal obligation. Use of AEdigo’s dispute tools does not waive or replace the right of any user to seek formal legal relief or enforcement in a competent jurisdiction. AEdigo does not refund service fees for engagements resulting in disputes.

User-to-User disputes follow the Payment, Fee & Dispute Resolution Policy.

7. Payment Processing, Reversals, and Merchant-of-Record Disclaimer
7.1 Role as Merchant of Record. AEdigo may appear as the “merchant of record” on payment transactions processed via Stripe Connect or similar third-party payment providers. This designation is solely for the limited purpose of enabling secure payment facilitation between Clients and Freelancers and does not make AEdigo a provider, seller, guarantor, or endorser of any services offered on the platform. All obligations regarding the scope, quality, legality, timeliness, safety, delivery, performance, and regulatory compliance of services rest exclusively with the Client and Freelancer under their separate Service Contract.

7.2 No Assumption of Service Liability. Being the merchant of record does not create any contractual, statutory, or implied obligation for AEdigo to perform, supervise, monitor, or guarantee the services purchased or sold through the platform. Users acknowledge that AEdigo’s role is limited to collecting and transmitting payments, less any applicable fees, and that AEdigo bears no responsibility for disputes regarding deliverables, non-performance, defects, or compliance failures, except to the extent directly caused by AEdigo’s proven gross negligence or willful misconduct.

7.3 Payment Reversals, Clawbacks, and Recovery. Users acknowledge and agree that AEdigo may, in its sole discretion, reverse, withhold, or recover payments in the event of suspected or actual fraud, chargebacks, policy violations, unauthorized activity, regulatory inquiry, or any other reasonable basis for concern, including where required by a payment processor or applicable law. In such cases:
Any amounts refunded, reversed, or clawed back by a payment processor shall be recoverable by AEdigo from the Freelancer or Client that originally received the funds; AEdigo may offset such amounts against any current or future payouts owed to the affected User; The affected User remains liable for any resulting negative account balance, which must be repaid promptly upon demand.

7.4 User Indemnification. To the fullest extent permitted by law, Users agree to indemnify, defend, and hold harmless AEdigo, its affiliates, officers, directors, employees, agents, and licensors from any claims, disputes, penalties, chargebacks, fines, refunds, damages, or regulatory actions arising from or related to services purchased or sold through the platform, including any issues with quality, legality, performance, or compliance, except to the extent directly caused by AEdigo’s proven gross negligence or willful misconduct.

7.5 Third-Party Processor Terms. Users agree to be bound by the terms of service of AEdigo’s third-party payment providers (including Stripe’s Connected Account Agreement) and acknowledge that AEdigo does not control and is not responsible for such providers’ actions, decisions, or availability.

8. Platform Misuse and Malicious Activity
Users may not use the platform to upload harmful code, engage in phishing or impersonation, exploit platform mechanics, or otherwise engage in conduct that threatens the safety, integrity, or functionality of the AEdigo ecosystem. AEdigo disclaims all liability for damages caused by malware, deceptive practices, or unauthorized account activity resulting from user conduct.

9. AI-Generated Content and Automation
Users acknowledge that some features on AEdigo may involve automation or algorithmic decision-making, including recommendations, job matching, or content scoring. AEdigo disclaims any liability for decisions made based on automated or AI-generated results, and users remain solely responsible for evaluating all business decisions made through or because of platform recommendations.

Users may not misrepresent AI-generated outputs as original human-authored work without disclosing their nature to the receiving party. AEdigo disclaims all liability for project failures, client dissatisfaction, or rework costs resulting from reliance on such undisclosed automation.

10. Insurance and Risk Allocation
AEdigo does not provide or arrange any insurance coverage for users. Clients and freelancers are solely responsible for maintaining appropriate insurance for their professional activities, including but not limited to general liability, professional liability (errors & omissions), and workers’ compensation. AEdigo disclaims all responsibility and liability for any losses, claims, damages, or expenses of any kind arising from or related to uninsured or underinsured conduct, inadequate coverage, or any insurance-related disputes between users.

11. Governing Law
This disclaimer shall be governed by and construed under the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes arising from or relating to this disclaimer or the platform shall be subject to the exclusive jurisdiction of the state or federal courts located in Delaware. Users hereby irrevocably consent to personal jurisdiction in such courts and waive any objection to venue or forum non conveniens.

12. Force Majeure
AEdigo shall not be liable for any failure or delay in performance due to events beyond its reasonable control, including but not limited to acts of God, natural disasters, internet outages, labor shortages, regulatory changes, war, terrorism, or pandemics.

13. Optional Legal Instruments (NDAs and Lien Waivers)
Certain clients may request that freelancers execute additional legal instruments, such as Non-Disclosure Agreements (NDAs) or Final Lien Waivers, as part of their engagement through the AEdigo platform. If a client includes such documents within a project offer, the freelancer's acceptance of that offer constitutes binding agreement to the terms of those documents, subject to applicable law.

Freelancers are responsible for reviewing any referenced NDA or lien waiver prior to accepting the offer. If accepted, the freelancer agrees to sign the documents at the appropriate time (e.g., at the start of the project for an NDA or at project completion for a lien waiver) in accordance with AEdigo's workflow and applicable construction industry standards.

AEdigo acts solely as a facilitator of these agreements and is not a party to any NDA or lien waiver entered into between users. AEdigo does not provide legal advice and disclaims any responsibility for the enforceability, compliance, or validity of such documents. Users should consult legal counsel if they require assistance interpreting these instruments.

Intellectual Property (IP) Policy
At AEdigo Inc. (“AEdigo,” “we,” “us,” or “our”), we respect intellectual property rights and are committed to fostering a secure and trustworthy environment for all users. This Intellectual Property (IP) Policy outlines how ownership, usage, and infringement matters are handled in connection with the AEdigo platform. By using our services, you agree to comply with the provisions outlined in this document.

1. Ownership of User Content
Freelancers and clients using the AEdigo platform may upload content such as portfolios, resumes, design files, models, proposals, and other materials (“User Content”). AEdigo does not claim ownership of any User Content. You retain full intellectual property rights in the materials you upload. AEdigo’s function is limited to hosting and displaying User Content as needed to facilitate the services provided through our platform. We do not license, repurpose, or commercially exploit user materials beyond their operational use within AEdigo.

By uploading or submitting content, users represent and warrant that they own or have the necessary rights and permissions to use, share, and display such content on the AEdigo platform. While AEdigo is not responsible for monitoring user-submitted content, we take reasonable steps to address any infringement claims in accordance with applicable laws, including the Digital Millennium Copyright Act (DMCA).

2. AEdigo Platform IP
All intellectual property developed or maintained by AEdigo such as platform code, databases, APIs, visual design, branding, business logic, and any tools or features introduced by AEdigo remains the sole property of AEdigo. This includes proprietary algorithms, automated vetting, features, and any AI models developed for platform use. Users may not copy, reverse engineer, reproduce, or create derivative works based on any part of the AEdigo platform without our prior written consent.

AEdigo grants users a limited, non-exclusive, non-transferable, and revocable license to access and use the platform solely for its intended purpose, subject to compliance with AEdigo’s Terms of Service and this IP Policy. This license does not grant any ownership or other rights in AEdigo’s proprietary materials or systems.

3. Deliverables and IP Transfer Between Users
AEdigo operates as a neutral digital marketplace and is not a party to service contracts between clients and freelancers. Accordingly, AEdigo does not monitor, mediate, or enforce intellectual property provisions between users. Users are responsible for explicitly defining and agreeing to IP ownership and transfer terms in their contracts. Unless explicitly agreed otherwise in writing between the parties, intellectual property rights in deliverables will transfer to the client upon full payment of the agreed compensation. Clients and freelancers are responsible for addressing any background IP, licensed materials, or pre-existing components incorporated into deliverables. AEdigo does not review submitted work for originality or clearance. Unless expressly agreed otherwise in a written service agreement signed by both Client and Freelancer, ownership and usage rights to Deliverables are governed by the AEdigo Service Contract in effect at the time of engagement. Clients and Freelancers may include alternative intellectual property transfer terms and usage limitations in their own signed service agreement, provided such terms do not conflict with AEdigo’s Terms of Service or policies. AEdigo is not a party to and has no obligation to enforce any custom agreements between Users. Parties are strongly encouraged to document any variations in writing to avoid misunderstandings or disputes.

AEdigo disclaims all liability for disputes arising from unclear or incomplete IP terms between users.

4. Reporting Infringement
If you believe that your intellectual property rights have been violated on the AEdigo platform, you may submit a formal complaint to Legal@AEdigo.com. Your notice must include a description of the protected material, the allegedly infringing content, your contact information, a good-faith statement of unauthorized use, and a declaration under penalty of perjury that your claim is accurate and made by an authorized party. Upon receiving a valid notice, AEdigo may disable access to the content and notify the relevant user, who may have the opportunity to respond in accordance with applicable law.

AEdigo complies with the Digital Millennium Copyright Act (DMCA) and applicable IP laws. Users whose content has been removed due to a takedown request may submit a written counter-notification to Legal@AEdigo.com. If legally sufficient, AEdigo will restore the content after 10-14 business days unless we receive notice that the copyright owner has filed an action seeking a court order to restrain the allegedly infringing activity.

5. User Feedback and Platform Suggestions

AEdigo reserves the right to suspend or terminate user accounts in the event of repeated IP violations, fraudulent conduct, or any breach of this policy. Infringing content may be removed without prior notice, and serious cases may result in legal action. AEdigo will act in good faith to balance the rights of content owners and the interests of the platform’s user base.

Users must not submit knowingly false or malicious infringement claims. AEdigo reserves the right to suspend or remove any user who abuses the reporting process, including repeated or retaliatory claims submitted in bad faith.

Know Your Customer (KYC) Policy
1. Introduction
AEdigo Inc. (“AEdigo,” “we,” “us,” or “our”) implements commercially reasonable measures to maintain a secure, transparent, and trustworthy freelance marketplace. In support of this goal, we facilitate Know Your Customer (KYC) and anti-money laundering (AML) practices through our integration with Stripe, a regulated financial services provider. This policy outlines how user identity verification is handled across the platform and how it supports the integrity of payments and account security.

Users acknowledge that identity verification is conducted by Stripe as an independent service provider. AEdigo does not influence or determine the outcome of any KYC review and shall not be liable for any delays, rejections, restrictions, or other actions imposed by Stripe based on their compliance criteria, risk scoring models, or any other reason whatsoever.

2. Purpose and Scope
This KYC Policy applies to all AEdigo users, freelancers and clients alike, who participate in any payment-related activity. The policy is designed to meet legal and financial compliance obligations, reduce fraudulent activity, and protect the AEdigo community from risks such as identity theft, misrepresentation, or financial manipulation. While AEdigo does not directly collect sensitive identification documents, we work with Stripe to ensure verification is performed according to international compliance standards.

While AEdigo may monitor platform activity for patterns of fraud, AEdigo expressly disclaims any warranty or guarantee regarding the accuracy or authenticity of any user’s identity. Users are responsible for performing their own due diligence before entering into transactions, contracts, or employment relationships through the platform.

3. Identity Verification through Stripe
AEdigo uses Stripe Connect to onboard users and facilitate payment verification. Stripe independently manages the KYC verification process and may collect details such as full legal name, government-issued identification, residential or business address, date of birth, tax identification number, and linked bank account details. These processes are conducted securely through Stripe’s platform, and AEdigo does not store, process, or access this sensitive data directly, and assumes no responsibility for the security, accuracy, or handling of such data by Stripe.
Stripe’s verification may be triggered during initial account setup, prior to the release of payments, when transaction thresholds are reached, or if Stripe identifies unusual or high-risk behavior. Until verification is complete and approved by Stripe, AEdigo may, in its sole discretion, restrict certain platform functionality, including but not limited to initiating or receiving payments, to ensure compliance with applicable laws and regulations.
Stripe’s identity verification and data handling are governed by its own compliance obligations and privacy policies. To the maximum extent permitted by applicable law, AEdigo disclaims any and all liability for third-party service failures, regulatory action, or data breaches occurring within Stripe’s infrastructure or processes.
Please note: As AEdigo uses Stripe’s system, users located outside the countries supported by Stripe will not be able to complete registration. AEdigo reserves the right to modify, restrict or expand service availability at any time in its sole discretion. 4. AEdigo Oversight and Risk Monitoring
Although Stripe handles direct identity verification, AEdigo may monitor user activity across the platform to detect potential anomalies. This includes reviewing patterns of fraud, fake accounts, circumvention attempts, or other misuse. If behavior raises compliance concerns, as determined by AEdigo in its sole discretion, AEdigo reserves the right to suspend user activity, block payments, permanently disable accounts, or take any other action it deems necessary or appropriate. In cases of confirmed fraud or regulatory violations, AEdigo may report activity to relevant authorities.

AEdigo may rely on automated tools, pattern recognition, and metadata analysis to flag suspicious activity. Actions taken based on such signals are at AEdigo's reasonable discretion and may be appealed through our designated dispute resolution process, except where prohibited by applicable law or where immediate action is required for legal compliance or security purposes. AEdigo shall have no liability for any action taken in good faith pursuant to this section. AEdigo reserves the right to act preventively and does not guarantee reactivation of accounts once disabled for compliance concerns.

5. User Responsibilities
All users are expected to cooperate in the identity verification process. This includes providing complete and accurate information when prompted and responding promptly to Stripe’s or AEdigo’s verification requests. Users must not use stolen or fraudulent identities, and must notify us immediately (and in no event later than 24 hours) if they suspect that their account has been accessed or used without authorization. Failure to provide such timely notification may result in the user bearing full responsibility for any unauthorized activities.

Users must not create accounts on behalf of others, share login credentials, use VPNs or proxies to mask their geographic location, or attempt to bypass KYC processes through false identities or misleading information. Such conduct may result in permanent account removal and referral to regulatory authorities.
Failure to complete verification, or failure to comply with this policy, may result in limitations on platform access, payment delays, or account termination.

6. Data Privacy and Protection
AEdigo does not directly collect or store sensitive identity verification data such as government-issued IDs, biometric identifiers, or banking details submitted for KYC purposes. These activities are managed by Stripe, our regulated third-party payment and verification provider, in accordance with their own privacy and compliance policies. AEdigo may receive and retain limited verification metadata such as status flags, country of verification, and risk classifications which may be used to confirm account eligibility, assess fraud risk, support dispute resolution processes, and for other legitimate business purposes as determined by AEdigo. This metadata is handled in compliance with AEdigo’s Privacy Policy and is never used for advertising, resale, or profiling purposes.
